Glucobit, Inc. (“Reframe,” “we,” “our,” or “us”) values the privacy of individuals who use the Reframe website, mobile app, and related services (collectively, the “Services”). This Privacy Policy (the “Policy”) describes the information that we gather from visitors, users, and others who access or use the Services (“you” or “your”), how we use and disclose such information, and the steps we take to protect such information. By using the Services, you consent to the privacy practices described in this Policy.

This Policy is incorporated into and is subject to the Reframe Terms of Use. Capitalized terms used but not defined in this Policy have the meaning given to them in the Terms of Use.

Information We Collect

Personal Information

While using the Services, we will ask you to provide us with certain personally identifiable information that can be used to contact or identify you (“Personal Information”). Personal Information may include, but is not limited to, your name, email address, payment information, and other contact and demographic information. You may provide us with Personal Information when you register for an Account, use the Services, make a purchase, contact customer support, sign up for marketing material, or otherwise communicate with us. If you connect to our Services from third-party sites, we may receive Personal Information about you from such third parties and combine it with information we collect through our Services. For example, we may obtain information when you sign up or log in through a third-party social network or authentication service, such as Google or Facebook. Please note that if you choose not to share certain Personal Information with us, or refuse certain contact permissions, we might not be able to provide certain parts of the Services.

Usage Information

We collect information about how you access and interact with the Services, such as device type, IP address, operating system, browser type, address of a referring website, activity on our website, device ID, access dates and times, location (if shared through your device settings), information related to your transactions on the Services, and other system activity. We may collect certain information by automated means using technologies such as cookies, web beacons, pixels, browser analysis tools, server logs, and mobile identifiers. In many cases the information we collect using cookies and other tools is only used in a non-identifiable manner without reference to Personal Information. For example, we may use information we collect to better understand website traffic patterns and to optimize our users’ experience. In some cases we associate the information we collect using cookies and other technology with Personal Information. We do not track users across third party websites or process or respond to web browsers’ “do not track” signals or other similar transmissions that indicate a request to disable online tracking of users who visit or use the Services.

Third parties may also use cookies, web beacons, or other devices to collect information when you use the Services. Reframe does not control any cookies or other data collection tools that may be placed on the Services by a third party, and this Policy does not cover the use of such cookies and/or other data collection tools by any third party. We encourage you to read the privacy policies of such third parties to find out more about the information that may be collected by them and the choices you have regarding the collection, use, and sharing of such information. You may be able to “opt out” of the collection of information through cookies or other tracking technology by actively managing the settings on your browser or mobile device.

How We Protect Your Information

We take measures designed to protect Personal Information in an effort to prevent loss, misuse, unauthorized access, disclosure, alteration, and destruction, such as the use of firewalls, password protection, secure socket layer, encryption, and other security measures. We will only keep your Personal Information for as long as necessary to fulfill the purposes we collected it for, including for the purposes of satisfying any legal, accounting, or reporting requirements. We may also retain and use your Personal Information for as long as necessary to resolve disputes and/or enforce our rights. Where we rely on your consent to process your Personal Information, you have the right to decline consent and/or if provided, to withdraw consent at any time. This will not affect the lawfulness of processing prior to the withdrawal of your consent.

We limit access to Personal Information to our employees, agents, contractors, and other third parties who have a business need to know. They will only process Personal Information on our instructions and they are subject to a duty of confidentiality. We have implemented procedures to handle any suspected Personal Information breach and will notify you and any applicable regulator of a breach as legally required.

Please be aware, however, that despite our efforts, no security measures are perfect or impenetrable and no method of data transmission can be guaranteed against any interception or other type of misuse. To protect the confidentiality of information maintained in your Account, you must keep your password confidential and not disclose it to any other person. You are responsible for all uses of the Services by any person using your password. Please advise us immediately if you believe your password has been misused.

International Data Transfers

Personal Information we collect from you may be stored and processed in any country where we have operations or where we engage service providers. We may transfer your Personal Information to recipients in countries other than the country in which the Personal Information was originally collected, including to the United States, where data protection laws may differ from the laws of the country where you are a resident. By providing us with your data you acknowledge and agree that your Personal Information may be processed for the purposes identified in this Policy. We will take all steps reasonably necessary to ensure that your data is treated securely and in accordance with this Policy.

California Privacy Rights

California law permits California residents to request and obtain from us once a year, free of charge, a list of the third parties to whom we have disclosed their personal information (if any) for their direct marketing purposes in the prior calendar year, as well as the type of personal information disclosed to those third parties. See the “Contact” section for where to send such requests. We do not share your Personal Information with third parties for their own direct marketing purposes without your prior consent. Accordingly, you can prevent disclosure of your Personal Information to third parties for their direct marketing purposes by withholding consent.

The California Consumer Privacy Act (the “CCPA”) allows California residents, upon a verifiable consumer request, to request that a business that collects consumers’ personal information (as defined in the CCPA) to give consumers access, in a portable and (if technically feasible) readily usable form, to the specific pieces and categories of personal information that the business has collected about the consumer, the categories of sources for that information, the business or commercial purposes for collecting the information, and the categories of third parties with which the information was shared. California residents also have the right to submit a request for deletion of information under certain circumstances. See the “Contact” section for where to send such requests. Consistent with California law, if you choose to exercise your rights, we will not charge you different prices or provide different quality of services unless those differences are related to your information. Please note that you must verify your identity and request before further action is taken. As a part of this process, government identification may be required. Consistent with California law, you may designate an authorized agent to make a request on your behalf. In order to designate an authorized agent to make a request on your behalf, you must provide a valid power of attorney, the requester’s valid government issued identification, and the authorized agent’s valid government issued identification.

We do not sell personal information to third parties. We do allow third parties to collect and share personal information through the Services and share personal information with third parties for the business purposes described in this Policy.

Children’s Privacy

The Services are not directed to children under 13, or any higher minimum age in the jurisdiction where that person resides, and we do not knowingly collect Personal Information from children under such age. If we learn that we have collected Personal Information of a child under the applicable age, we will take steps to delete such information from our files as soon as possible.

Accessing and Modifying Your Information

You may contact us regarding any Personal Information associated with your Account by emailing us at the email address below. Please note that some information may remain in archived/backup copies for our records and as otherwise required by law.

You may “opt out” of receiving marketing or promotional emails from us by following the instructions in those emails or by emailing us at the email address below. If you opt out, we may still send you non-promotional emails, such as emails about your Account or our ongoing business relations (i.e. Account verification, transactional communications, changes/updates to features of the Services, and technical and security notices).

Changes and Updates to the Policy

We reserve the right to change the provisions of this Policy at any time. Please revisit this page periodically to stay aware of any changes. If we modify this Policy, we will make it available through the Services and indicate the date of the latest revision. Your continued use of the Services after the revised Policy has become effective indicates that you have read, understood, and agreed to the current version of this Policy.

Welcome, and thank you for your interest in Glucobit, Inc. (“Reframe,” “we,” “our,” or “us”). These Terms of Use constitute a legally binding agreement (the “Agreement”) between you and Reframe governing your access to and use of the Reframe website, mobile app, and other services provided by us (collectively, the “Services”).

PLEASE READ THIS AGREEMENT CAREFULLY BEFORE USING THE SERVICES. THIS AGREEMENT CONTAINS A BINDING ARBITRATION PROVISION THAT INCLUDES A JURY TRIAL WAIVER AND CLASS ACTION WAIVER, AND A CLAUSE THAT GOVERNS THE JURISDICTION AND VENUE FOR ANY DISPUTES.

By entering into this Agreement, and/or by accessing or using the Services, you expressly acknowledge that you have read, understood, and agree to be bound by this Agreement. This Agreement applies to all visitors, users, and others who access or use the Services (“users,” “you,” or “your”). Reframe reserves the right, at its sole discretion, to change, modify, add or remove portions of this Agreement, at any time, by posting changes to this page. Your continued access to or use of the Services after such posting confirms your consent to be bound by this Agreement, as amended. IF YOU DO NOT AGREE TO BE BOUND BY THE TERMS AND CONDITIONS OF THIS AGREEMENT, YOU MAY NOT ACCESS OR USE THE SERVICES.

THE SERVICES MAY CONTAIN GENERAL INFORMATION RELATING TO SUBSTANCE ABUSE AND ALCOHOL ADDICTION AS WELL AS VARIOUS OTHER MEDICAL CONDITIONS AND TREATMENTS. SUCH INFORMATION IS PROVIDED FOR INFORMATIONAL PURPOSES ONLY.  THE CONTENT ON THE SERVICES, WHETHER PROVIDED BY REFRAME OR A USER, IS NOT INTENDED TO BE A SUBSTITUTE FOR PROFESSIONAL MEDICAL ADVICE, DIAGNOSIS, OR TREATMENT.

1. Privacy Policy and Additional Terms

Our Privacy Policy [DR2] explains how we collect, use, and share your information, and is hereby incorporated into this Agreement. You agree that your access to and use of the Services is governed by our Privacy Policy.

Your use of the Services is subject to all additional terms, policies, rules, or guidelines applicable to the Services or certain features of the Services that we may post on or link to from the Services (the “Additional Terms”), such as end user license agreements for any downloadable software applications, or rules applicable to a particular feature or content on the Services. All Additional Terms are incorporated by reference into, and made a part of, this Agreement.

2. Eligibility

To use the Services you must be, and hereby represent that you are, an individual 18 years or older who can form legally binding contracts. Persons under the age of 18 are strictly prohibited from accessing or using the Services. Additionally, you are prohibited from accessing or using the Services if you are barred from receiving services under applicable law or have previously been suspended or removed from the Services.

3. Limited License Grant

Subject to the terms and conditions of this Agreement, you are hereby granted a limited, non-exclusive, non-transferable, non-sublicensable, freely revocable right to use the Services for your personal, noncommercial use only and as permitted by the features of the Services. We reserve all rights not expressly granted herein in the Services.

4. Accounts and Registration

To access and use the Services you must create an account (“Account”) by providing us with information such as your name, contact information, payment information, and additional information we may ask for or which you may elect to provide. You must provide accurate, current, and complete information during the registration process and keep your Account information up-to-date at all times. You are responsible for all activity that occurs in association with your Account. Reframe is not liable for any loss or damage caused by your failure to maintain the confidentiality of your Account credentials. You agree to notify us immediately at the email below if you discover or suspect any security breach related to the Services or your Account.

5. User Content

The Services allow you to post, link, share, and otherwise make available certain information, text, graphics, or other content (“User Content”). Your User Content remains yours and you are solely responsible for such User Content, including its legality, reliability, and appropriateness. You agree that any User Content that you post does not and will not violate third-party rights of any kind, including, without limitation, any intellectual property rights or rights of privacy. We reserve the right (but not the obligation) to reject and/or remove any User Content that we believe, in our sole discretion, violates this Agreement. You represent and warrant that you have all necessary rights, consents, and permissions to submit to the Services and otherwise disclose, transfer, and use all User Content, including to grant the licenses to User Content herein.

By posting or publishing User Content, you grant us a worldwide, non-exclusive, royalty-free right and license (with the right to sublicense) to use, modify, create derivative works of, perform, display, reproduce, and distribute such User Content on and through the Service.

6. Community Standards

All User Content must comply with all applicable federal, state, local, and international laws and regulations. Without limiting the foregoing, User Content must not:

• Contain any material that is defamatory, obscene, indecent, abusive, offensive, harassing, violent, hateful, inflammatory, or otherwise objectionable.
• Promote sexually explicit or pornographic material, violence, or discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age.
• Infringe any patent, trademark, trade secret, copyright, or other intellectual property or other rights of any other person.
• Violate the legal rights (including the rights of publicity and privacy) of others or contain any material that could give rise to any civil or criminal liability under applicable laws or regulations or that otherwise may be in conflict with this Agreement and our Privacy Policy.

• Promote any illegal activity, or advocate, promote, or assist any unlawful act.

7. Coaching

The Services may be used to connect you with a coach (“Coach”) who will provide coaching services to you through the Services. Coaches are independent providers and are not our employees, agents, or representatives. The Services are limited to enabling you to connect with a Coach and any coaching or other services provided by a Coach are independent of the Services. While we hope the Coach is beneficial to you, you agree and acknowledge that your interaction with and use of a Coach is at your own discretion and risk.

8. Restrictions

In addition to any other restrictions set forth in this Agreement, you agree not to engage in, attempt to engage in, or permit or assist others in engaging in, any of the following prohibited activities: (i) use any software, script, code, device, crawler, robot, or other means not provided by us to access the Services; (ii) circumvent, disable, or otherwise interfere with security-related features on the Services; (iii) modify, adapt, translate, reverse engineer, decipher, decompile, or otherwise disassemble any portion of the Services; (iv) access or use the Services in any manner that may damage, disable, unduly burden, or impair any part of the Services, or any servers or networks connected to the Services; (v) post information or interact with the Services in a manner which is fraudulent, libelous, abusive, obscene, profane, harassing, or illegal; (vi) use the Services for any illegal purpose or in violation of any law, statute, rule, permit, ordinance, or regulation; (vii) gain or attempt to gain unauthorized access to the Services; (viii) interfere or attempt to interfere with the Services provided to any user or network, including, without limitation, via means of submitting a virus to the Services, spamming, crashing, or otherwise; (ix) engage in commercial use or distribution of the Services, or copy or create any derivative work of the Services; (x) use the Services in any way that infringes or misappropriates any third party’s rights, including intellectual property rights, copyright, patent, trademark, trade secret, or other proprietary rights, or rights of publicity or privacy; (xi) copy or otherwise use another user’s content without obtaining proper rights to such content[DR2] ; or (xii) use your Account or the Services for the benefit of any third party.

9. Payment Terms

Your use of the Services is based on a subscription and is subject to certain recurring fees and other fees and charges, as applicable. When you use the Services you agree to the applicable pricing and payment terms. Reframe may add new features for additional fees and charges, or amend fees and charges for existing features, at any time in its sole discretion. Any change to our pricing or payment terms shall become effective in the billing cycle following notice of such change to you as provided in this Agreement. All subscription fees, including any applicable taxes and transaction fees, are in U.S. Dollars and payable in advance. Reframe is not responsible for any charges or expenses you incur resulting from charges billed by Reframe in accordance with this Agreement. By providing a credit card number or other payment method with advance authorization features (such as in-app payments from third parties like Apple or Google), you authorize Reframe to continue charging the payment method for all charges due to Reframe until your Account is settled and your subscription is terminated by either you or Reframe. Reframe reserves the right to limit the number of Accounts that may be charged to a credit card or other payment or identification method per unique user.

You may cancel your Account at any time; however, payments are nonrefundable and there are no refunds or credits for partially used periods. Following any cancellation, however, your subscription will be valid until your paid period is complete.

10. Proprietary Rights

Except for User Content (defined above), all data, text, images, logos, software, content, and other information and content available on or through the Services (“Reframe Material”), are the property of Reframe. The Reframe Material is protected by copyright, trademark, and/or other intellectual property laws and you acknowledge and agree that we retain all right, title, and interest in and to the Reframe Material. Except as expressly stated in this Agreement, you may not sell, transfer, alter, reproduce, distribute, republish, download, display, post, or transmit any Reframe Material, in whole or in part, by any means.

You acknowledge and agree that any feedback, comments, or suggestions you may provide regarding the Services (“Feedback”) will be the sole and exclusive property of Reframe and you hereby irrevocably assign to us all of your right, title, and interest in and to all Feedback. Any data that we generate from your usage of the Services will be owned by Reframe and handled subject to the terms of our Privacy Policy, as applicable.

11. Disclaimer

THE SERVICES, INCLUDING ANY COACHING SERVICES, ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. USE OF THE SERVICES IS AT YOUR OWN RISK. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, PRIVACY, SECURITY, ACCURACY, TIMELINESS, QUALITY, OR NON-INFRINGEMENT. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM REFRAME OR THROUGH THE SERVICES (INCLUDING THE COACHING SERVICES) WILL CREATE ANY WARRANTY NOT EXPRESSLY STATED HEREIN. WITHOUT LIMITING THE FOREGOING, REFRAME, ITS SUBSIDIARIES, ITS AFFILIATES, AND ITS LICENSORS DO NOT WARRANT THAT: (I) THE SERVICES OR RESULTS THAT ARE OBTAINED FROM USE OF THE SERVICES (INCLUDING COACHING) WILL BE ACCURATE, RELIABLE, ERROR-FREE, OR CORRECT; (II) THE SERVICES OR RESULTS THAT ARE OBTAINED FROM USE OF THE SERVICES WILL MEET YOUR REQUIREMENTS; (III) THE SERVICES WILL BE AVAILABLE AT ANY PARTICULAR TIME OR LOCATION, TIMELY, UNINTERRUPTED, OR SECURE; (IV) ANY DEFECTS OR ERRORS WILL BE CORRECTED; OR (V) THE SERVICES ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. ANY CONTENT DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE SERVICES IS DOWNLOADED AT YOUR OWN RISK AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR MOBILE DEVICE OR LOSS OF DATA THAT RESULTS FROM SUCH DOWNLOAD OR YOUR USE OF THE SERVICES. REFRAME DOES NOT WARRANT, ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR ANY COACH OR COACHING SERVICES. YOU EXPRESSLY ACKNOWLEDGE THAT THE SERVICES AND ANY RELATED COACHING YOU RECEIVE ARE IN NO WAY INTENDED TO BE INTERPRETED AS PROVIDING HEALTH CARE OR MEDICAL OR EMOTIONAL THERAPY, OR AS ATTEMPTING TO DIAGNOSE OR TREAT ANY PHYSICAL, MENTAL, OR EMOTIONAL CONDITION. REFRAME EXERCISES NO CONTROL OVER AND EXPRESSLY DISCLAIMS ANY LIABILITY RELATED TO THE CONTENT OR ADVICE YOU ACCESS OR RECEIEVE THROUGH YOUR USE OF THE SERVICES. TO THE FULL EXTENT PERMITTED UNDER APPLICABLE LAW, REFRAME WILL NOT BE LIABLE FOR ANY PERSONAL INJURY (INCLUDING DEATH), PROPERTY DAMAGE, OR ANY OTHER LOSS, INJURY, OR DAMAGE SUFFERED BY YOU OR ANY USER HEREUNDER.

If you live in a state that do not allow for the disclaimer of certain warranties, the disclaimers above may not apply to you.

12. Indemnity

You agree to defend, indemnify, and hold Reframe and its officers, directors, employees, agents, and affiliates (the “Reframe Entities”) harmless from any and all third-party claims, proceedings, damages, injuries, liabilities, losses, costs, and expenses (including attorneys’ fees and litigation expenses), arising out of or relating to: (i) your access to or use of the Services, including your use of a Coach; (ii) your violation of any portion of this Agreement; (iii) your User Content; and (iv) your violation of any third-party right.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE REFRAME ENTITIES OR THEIR LICENSORS BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, INCURRED BY YOU OR ANY THIRD PARTY, WHETHER IN AN ACTION IN CONTRACT OR TORT, ARISING FROM THE USE OF, OR INABILITY TO USE, THE SERVICES, EVEN IF REFRAME HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES OR LOSSES. NOTWITHSTANDING THE FOREGOING, THE TOTAL LIABILITY OF THE REFRAME ENTITIES AND THEIR LICENSORS, WHETHER IN CONTRACT, WARRANTY, TORT (INCLUDING, WITHOUT LIMITATION, NEGLIGENCE), PRODUCT LIABILITY, STRICT LIABILITY, OR ANY OTHER THEORY, ASSOCIATED WITH ANY CLAIM ARISING OUT OF OR RELATING TO USE OF OR ACCESS TO THE SERVICES FOR ANY REASON WHATSOEVER SHALL BE LIMITED TO ONE HUNDRED DOLLARS ($100). IF THE JURISDICTION YOU ARE IN DOES NOT ALLOW FOR THE EXCLUSION OF CERTAIN TYPES OF DAMAGES, THEN SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU IN CERTAIN CIRCUMSTANCES.

14. Alerts and Notifications

By entering into this Agreement or using the Services, you agree to receive communications from us, including e-mails, text messages, alerts, and other electronic communications. Standard message and data rates apply to all messages sent to or received from us. Any notices, agreements, disclosures, or other communications that we send to you electronically will satisfy any legal communication requirements, including that the communication be in writing.

15. Dispute Resolution

PLEASE READ THE FOLLOWING SECTION CAREFULLY BECAUSE IT REQUIRES YOU TO ARBITRATE CERTAIN DISPUTES AND CLAIMS WITH US AND LIMITS THE MANNER IN WHICH YOU CAN SEEK RELIEF FROM US.

The parties shall use their best efforts to settle any dispute, claim, question, or disagreement directly through consultation and good faith negotiations, which shall be a precondition to either party initiating a lawsuit or arbitration. If the parties do not reach an agreed upon solution within a period of thirty (30) days from the time such informal dispute resolution is pursued, then either party may initiate binding arbitration. Except as expressly set forth herein, any dispute, claim, or controversy (each, a “Claim”) arising out of or relating to this Agreement will be settled by binding arbitration administered by the American Arbitration Association (the “AAA”) in accordance with the provisions of its Commercial Consumer Arbitration Rules and the supplementary procedures for consumer related disputes of the AAA, excluding any rules or procedures governing or permitting class actions. The arbitrator, and not any federal, state or local court or agency, shall have exclusive authority to resolve all disputes arising out of or relating to the interpretation, applicability, enforceability, or formation of this Agreement, including, but not limited to any Claim that all or any part of this Agreement is void or voidable. The arbitrator’s award shall be binding on the parties and may be entered as a judgment in any court of competent jurisdiction. The procedures and rules of the Federal Arbitration Act, 9 U.S.C. § 1, et seq. shall exclusively govern the interpretation and enforcement of any arbitration. You and Reframe each acknowledge and agree to waive the right to a trial by jury or to participate as a plaintiff or class member in any purported class action or representative proceeding. Any arbitration will be conducted only on an individual basis and not in a class, collective, consolidated, or representative proceeding. However, you and Reframe each retain the right to bring an individual action in small claims court or the right to seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party’s copyright, trademark, trade secret, patent, or other intellectual property right. If any court or arbitrator determines that the foregoing class action waiver is void or unenforceable for any reason or that an arbitration can proceed on a class basis, then the arbitration provision herein shall be deemed null and void in its entirety and the parties shall be deemed to have not agreed to arbitrate disputes.

In addition to the severability provisions set forth above, in the event that any portion of this arbitration provision is deemed illegal or unenforceable, such provision shall be severed and the remainder of this section shall be given full force and effect. Any Claim or cause of action you may have arising out of or relating to this Agreement or the Services must be commenced within one (1) year after the cause of action accrues, otherwise, such cause of action or claim is permanently barred. The parties specifically exclude from application to this Agreement the United Nations Convention on Contracts for the International Sale of Goods and the Uniform Computer Information Transactions Act.

16. Term and Termination

This Agreement commences when you first visit or use any feature of the Services and shall continue throughout your subscription period. Your subscription will automatically renew for successive periods of the same length unless you cancel your subscription at least thirty (30) days before such renewal. We may, without prior notice and at our sole discretion: (i) change the Services, stop providing the Services or features of the Services to you or to users generally, or create usage limits for the Services; and (ii) suspend or terminate your access to and use of the Services in the event we have reason to believe you are in violation of this Agreement or have otherwise caused harm to us or another user. We will not be liable to you or any third party for any such termination. Upon any termination, discontinuation, or cancellation of the Services or your access thereto, your right to access or use the Services will immediately terminate. All provisions of this Agreement which by their nature should survive termination shall survive the termination of your access to the Service , including without limitation, provisions regarding ownership, warranty disclaimers, indemnity, and limitations of liability.

17.  General

Except as provided in above, this Agreement is governed by the laws of the State of Georgia, without regard to conflict of law principles. You agree to submit to the personal and exclusive jurisdiction of the state courts and federal courts located within Fulton County, Georgia for the purpose of litigating any dispute. You may not assign or transfer this Agreement or your rights herein, in whole or in part, by operation of law or otherwise, without our prior written consent. We may assign this Agreement at any time without notice or consent. If any portion of this Agreement is held invalid, you agree that such invalidity will not affect the validity of the remaining portions of this Agreement. No waiver by Reframe of any breach or default of this Agreement will constitute a continuing waiver of such breach or default or be deemed to be a waiver of any preceding or subsequent breach or default. This Agreement represents the complete agreement between Reframe and you regarding the subject matter set forth herein and supersedes all prior agreements and representations between Reframe and you.
